TRY NOT TO LAUGH CONTEST (2023) (hereinafter referred to as “Contest”)

 

Broadband India Pvt. Ltd (hereinafter referred to as “B4U” or “we” or “us” or “our”, as the context requires) owns and operates a website called ‘_________________ ’ whereby ______________  and organize contests for their specific requirements for such creative services through the its website called (hereinafter referred as “Platform”). We have hereby organised a laughter contest namely “TRY NOT TO LAUGH CONTEST” (hereinafter referred to as “Contest”) wherein the user/ participant/ entrant (“you” and “your”) shall be provided an opportunity to showcase their creativity and thereby submit the said content created/procured in accordance with the terms and conditions stated hereinbelow.

 

The Terms and Conditions form a legally binding agreement between you and us. Please take the time to read them carefully.

 

ACCEPTANCE

By using the Platform and by participating in the Contest, the user/ participant/ entrant (“you” and “your”) accept these Terms and Conditions (as detailed below) and agree to be bound by the same; and acknowledge that any other agreements between us are hereby superseded with respect to the subject matter of these Terms and Conditions. If you do not agree to and accept these Terms and conditions, you are not authorized to participate in the Contest, and you must exit the Platform. Please note that your usage of our Platform will be subject to our Privacy Policy, Cookies Policy and other terms and conditions set out on the Platform (the terms of which shall be deemed to have been incorporated here by reference) and all applicable laws and regulations.

 

TERMS AND CONDITIONS (“Terms”)

 

I.          Uploading Content

If you have an audio-video content (“Content”), you may be able to upload Content to the Platform. If you choose to upload Content and participate to the Contest, you must not submit to the Platform any Content that does not comply with this Agreement or the applicable law(s).

 

A.        In particular, the Content must:

i. respect the rights of others, including privacy;

ii. not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so;

iii. not abuse or harm others or yourself (or threaten or encourage such abuse or harm), including against children;

iv. not mislead, be patently false, or defrauding;

v. not intimidate or harass another, or promote sexually explicit material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation or age;

vi. not illegally impersonate, defame, bully, harass, be obscene or stalk others;

vii. not incite violation of applicable laws;

viii. not abuse, harm, interfere with, or disrupt the services — for example, by accessing or using them in fraudulent or deceptive ways, introducing malware, or spamming, hacking, or bypassing our systems or protective measures.

 

You are legally responsible for the Content you submit to the Platform. We may use automated systems that analyse your Content to help detect infringement and abuse, including spam and malware.

            Three winning videos will be selected and will be awarded prizes as follows:

            i. Gift Hamper worth USD _______

We shall have the sole and discretionary rights to decide the winners based on how well the entries/participants meet the criteria summarized in para 1 (C) hereinabove. We reserve the right to veto any entry at any stage of the competition

 

The winners will be announced on https://www.b4umusic.co.in/ on _____________. Winners will also receive an e-mail notification about the same from B4U detailing the procedure to claim the winning gift hamper in accordance with the guidelines provided therein.

 

 

Winners may be requested to offer support to promotional activities related to the campaign and this contest such as personal profiles, background information and photos.

 

E.        This Contest is open to people of all ages  for the territory of UK. It is open to both individuals and teams. There is no minimum or maximum number of members for a team submission. A representative or leader should, however, be designated in the case of a team submission.

F.         Video/s can be produced/created in English language or none. If the video uses another language, subtitles in English should be provided.

G.        It is your sole responsibility to ensure that all videos/ Content uploaded have been taken with the permission of the subject(s) (or, where the submission shows any underage persons, the consent of their parent) and/or venue/location/photo or sound owner and does not infringe on the copyright of any third party. You undertake and guarantee that you own the copyright for the submissions and for the usage rights required by the Contest, and that their entry does not infringe on the privacy rights, copyright or any other rights of any person.

 

II.        Rights you Grant towards the Content submitted

Subject to the Terms of the Contest, you are hereby grants, conveys, assigns, transfers and sets over to B4U, solely and exclusively all the copyrights in and to the Assigned Film including the underlying works such as literary works, musical works and sound recording incorporated therein, in the assigned languages for the worldwide territory, in any and all media now known or hereinafter devised and used, in perpetuity. The Rights assigned to us by you shall be transferable, sub licensable, irrevocable right to access and use the Content submitted by you, including without limitation right to download the submitted Content from the Platform and/or on a permitted device of B4U, with an absolute, complete and unrestricted rights/ power to edit, adapt, dub in any language, alter, amend, delete or cut any portion of the Content (as may be applicable) or add any portion of the Content (as may be applicable) to any other film, program, documentaries, advertisements or sound and/or vice versa; including all rights of communication and distribution to the public or private communication and/or distribution,  as may be now or hereafter known, and which can be derived out of the picture and sound negative and the rights to derive, generate, receive and appropriate all and any revenue, receipts/ economic benefits therefrom (except as specifically permitted by us in these Terms or in another agreement you enter into with us, you will have no right to share in any such revenue, goodwill or value whatsoever) and all the foregoing in any and all media now known and/or hereinafter devised on a sole, exclusive, absolute, unrestricted, unfettered, unencumbered basis. We reserve all rights not expressly granted herein towards the Content submitted. With effect from the successfully submitting the Content on the Platform towards the Contest, the assigned Rights will become the absolute, sole and exclusive property of us and you or any other third-person will not have, nor be deemed to have any right, title, claim, interest or benefit in such assigned Rights save and except the permitted use/ access the Content solely for your personal, non-commercial use in compliance with the Terms herein.You agree that we shall be at the liberty to exercise assigned Rights at any time during the term and that Section 19(4) of the Copyright Act, 1957 (as amended) shall not apply to this assignment.

OWNERSHIP:All right, title and interest in and to the results and proceeds of Participants’ interviews, performances, videos submitted and any embodiments thereof, including, without limitation, all DVD’s/ digital videos submitted by Participants, all taping, filming, photography and/or recording of Participants and all materials created and/or provided by Participants and the copyrights therein (collectively, the “Materials”) and all rights therein, and the use and exploitation thereof shall be the sole and exclusive property of B4U for worldwide use in perpetuity, and Participants shall have no claim or interest therein. B4U shall be entitled to distribute, exhibit, exploit, broadcast the Materials in any mode, formats, on any platforms as B4U may deem fit and proper. For avoidance of doubt, by accepting all these terms and conditions, the Participants shall assign, release, relinquish transfer, and surrender all his/her copyrights including moral rights and all other Intellectual Property Rights (IPR) of whatsoever nature to and in favor of B4U, without any monetary consideration or otherwise. In addition to this assignment, release, relinquish transfer, and surrender to and in favor of B4U, the Participant has waived all his/her claim at all times to come. Participant agrees to promptly execute and deliver to B4U all documents reasonably requested for B4U to secure copyright protection in the Materials and the Content Rights, and to carry out the purposes hereof.

 

 

III.       OUR RIGHTS

All legal right, title, interest and intellectual property in the Platform including all text, images, photographs, illustrations, icons, video clips, audio clips, written, other materials and the Platform Content (irrespective of whether those rights are registered or not, and wherever in the world those rights may exist), belong solely with us. Nothing contained in these Terms should be construed as granting by implication, estoppel, or otherwise, the right to use any of our trade names, trademarks, service marks, logos, domain names, copyright, patent, other distinctive brand features or other intellectual property or proprietary rights in any manner whatsoever without our express and prior written consent. You agree that you shall not use the trademarks or trade names or deceptively similar marks or derivatives created from such trademarks, trade names or intellectual property rights to pass off products and/or services as those of ours, our subsidiaries, affiliates, licensors etc. We will aggressively enforce our intellectual property rights to the fullest extent of the law, which may include seeking criminal prosecution.

 

 

IV.       INDEMNITY

You agree to defend, indemnify, and hold harmless B4U, its parents, subsidiaries, and affiliates, and each of their respective officers, directors, employees, agents and advisors from any and all claims, liabilities, costs, and expenses, including, but not limited to, attorneys’ fees and expenses, arising out of a breach by you or any user of your account of these Terms or arising out of a breach of your obligations, representation and warranties under these Terms including third party claims.
